2. Scope
These terms of sale (hereinafter the "Terms of Sale") apply to any subscription to the Vulata service, whether the customer is a consumer or a business customer.
Certain provisions are specific to consumers. They are identified as such and do not apply to business customers.
Confirmation of the order constitutes acceptance of these Terms of Sale and of the Terms of Use.
3. Description of the offer
The subscription gives access to all the features of the Vulata service described on the pricing page on the day of subscription, in particular the generation of ebooks, access to the online editor and export in the formats offered.
The service is provided in the form of online access. No delivery of any tangible medium is planned.
4. Free trial
The service may be offered with a free trial, the duration of which is stated at the time of subscription.
Registering a payment method is required to activate the trial. At the end of the trial period, unless the customer cancels before it ends, the subscription continues automatically as a paid plan and the first payment is charged.
The customer is informed of the trial end date at the time of subscription. The customer may cancel at any time during the trial period from the customer account area, at no cost.
5. Price
The subscription is offered at the price shown on the pricing page on the day of subscription, in the currency shown there, with a commitment period of twelve months. The applicable price and the billing terms, monthly or annual, are those shown on the pricing page on the day of subscription.
Prices are stated inclusive of all taxes. The applicable value added tax is the one in force on the day of billing. For customers established outside France, the applicable tax is determined in accordance with the tax rules in force.
The publisher may change its prices. The customer is notified of any change by email at least thirty days before it takes effect. The change applies only from the next renewal. In the event of refusal, the customer may cancel before the effective date.
6. Payment
Payment is made online by payment card, using the Stripe payment solution. No payment card data is retained by the publisher.
The customer authorizes the payment method on file to be charged automatically for each successive payment as it falls due, for the entire duration of the subscription.
If a payment fails, the publisher may retry the charge. After three unsuccessful attempts and after the customer has been informed, access to the service may be suspended until payment is made, then the subscription may be canceled.
Provision applicable to business customers. Any late payment automatically gives rise to the application of penalties calculated at the interest rate applied by the European Central Bank to its most recent refinancing operation, increased by ten percentage points, as well as to a fixed sum of forty euros as compensation for recovery costs, in accordance with Articles L441-10 and D441-5 of the French Commercial Code (Code de commerce).
7. Term, renewal and cancellation
The subscription is entered into for a term of twelve months. It renews automatically for successive periods of the same duration, unless it is canceled.
Provision applicable to consumers. In accordance with Article L215-1 of the French Consumer Code (Code de la consommation), the publisher informs the customer in writing, no earlier than three months and no later than one month before the end of the period during which renewal may be refused, of the possibility of not renewing the contract. If this information has not been received, the customer may terminate the contract free of charge at any time from the renewal date and the sums paid after the renewal date are refunded to the customer.
Provision applicable to consumers. In accordance with Article L215-1-1 of the French Consumer Code, cancellation may be carried out online from the customer account area, through a feature that is accessible at all times and free of charge.
The customer may cancel the subscription at any time from the customer account area. Cancellation takes effect at the end of the current period. Sums already paid for the current period are retained by the publisher, subject to the provisions of the preceding paragraph.
Access to the service is maintained until the end of the period paid for. It is the customer's responsibility to export their documents before that date.
8. Right of withdrawal
Provision applicable to consumers. In accordance with Article L221-18 of the French Consumer Code, the consumer has a period of fourteen days from the conclusion of the contract to exercise the right of withdrawal, without having to give reasons for the decision.
In accordance with Article L221-28 of the same Code, this right may no longer be exercised where the consumer has expressly requested performance of the service before the end of the withdrawal period and has acknowledged losing the right of withdrawal once the contract has been fully performed, or, in the case of the supply of digital content not supplied on a tangible medium, where performance has begun after the consumer's prior express consent, accompanied by the express waiver of the right of withdrawal.
At the time of subscription, the consumer is invited to give this express consent and to acknowledge the loss of the right of withdrawal, in order to benefit from immediate access to the service. Otherwise, access is opened only upon expiration of the fourteen-day period.
Where the consumer has requested immediate performance and then withdraws before full performance, the consumer owes an amount proportional to the service provided up to the date of withdrawal.
To exercise the right of withdrawal, the consumer sends an unequivocal statement to contact@vulta.fr. The refund is made within fourteen days of receipt of the request, by the same payment method as the one used at the time of subscription.
Provision applicable to business customers. The right of withdrawal does not apply to contracts concluded by a business customer for the purposes of its business, except in the cases provided for in Article L221-3 of the French Consumer Code.
9. Legal guarantees
Provision applicable to consumers. The service is provided under the legal guarantees of conformity set out in Articles L224-25-12 et seq. of the French Consumer Code applicable to digital content and digital services. The consumer has a period of two years from the supply of the digital content to have the service brought into conformity.
In the event of a lack of conformity, the consumer may require the service to be brought into conformity and, failing that, obtain a price reduction or termination of the contract, under the conditions provided for by law.
These guarantees apply independently of any commercial guarantee that may be granted.
10. Complaints and mediation
Any complaint may be sent to contact@vulta.fr. The publisher agrees to acknowledge receipt of it and to respond to it within a reasonable time.
Provision applicable to consumers. In accordance with Article L612-1 of the French Consumer Code, the consumer may have recourse, free of charge, to a consumer mediator with a view to the amicable resolution of the dispute between the consumer and the publisher, after first attempting to resolve the dispute directly with the publisher by means of a written complaint.
The competent mediator is:
Consumer mediation, [name of the mediator of which Vultek is a member] [postal address] [website address]
11. Force majeure
Neither party may be held liable for a failure to perform its obligations resulting from an event of force majeure within the meaning of Article 1218 of the French Civil Code (Code civil).
12. Governing law and jurisdiction
These Terms of Sale are governed by French law.
Provision applicable to consumers. The consumer may bring proceedings, at the consumer's choice, before one of the courts having territorial jurisdiction under the French Code of Civil Procedure (Code de procédure civile), or before the court of the place where the consumer resided at the time the contract was concluded.
Provision applicable to business customers. Failing an amicable resolution, any dispute falls within the exclusive jurisdiction of the courts of the judicial district in which the publisher's registered office is located.
